WHOLESALE PURCHASERS

Returning Customer – password – line sheet – purchase order – order minimum $150.00
New Customer – download forms and applications, fax to Oxumwear – get password, set terms (COD) – order minimum $350.00 (or 2 tops + 2 pants in all size runs -1xs 1s 1m 1l and at least 2 different colors = total 8 tops & 8 pants) – next order minimum $150.00

WHOLESALE TERMS & CONDITIONS

To place a wholesale order with Oxumwear you need to fill out the wholesale information forms (download forms) and fax them to us for approval (fax: 310.559.5316).

REQUIREMENTS
Our policy is that we sell wholesale to the retail trade only.
A valid business certificate, license or Tax I.D. number must be presented as proof of Business.
To be considered as an Oxumwear wholesale customer you need to be able to sell to the general public from a physical or online retail store.

Oxumwear, Inc. reserves the right to refuse orders from any company that it deems unsuitable or non-compliant. Establishment of an account with Oxumwear indicates acceptance of these Terms. All Terms & Prices are honored on a per order basis.

WEBTERMS
Oxumwear will post retailer address, phone and hyperlinks to promote any business that supports our products, values and communities.
At least 50% of all graphics used for online web stores must be provided by Oxumwear. All provided marketing collateral (visual presentations) must be displayed.

REGIONAL EXCLUSIVITY
Oxumwear does not adhere to any terms regarding regional exclusivity.

MINIMUM ORDERS
The Oxumwear team is happy to help new wholesale customers choose their initial package. We encourage new buyers to try an assortment of styles in different colors and sizes. Our suggested first time order would include at least 2 different types of tops and 2 models of pants. All models should be in 2 different colors and in a complete size run (xs-s-m-l). So the suggested first-time minimum order would include 8 tops and 8 pants.
• The minimum total dollar amount is $350.00 on initial orders.
• There is a $150.00 minimum on re-orders.

(( - The minimum total dollar amount is $500.00 on initial orders. Most other lines have their minimums set between $800-$1000, and our low first-time minimum order is working towards increasing our brand presence and distribution.

TERMS AND CONDITIONS
Initial orders are pre-paid by check or via PayPal unless credit is pre-approved. Please note minimum order amounts. All pre-orders (before the production is completed) have Terms set to NET 30. All other credit orders are payable NET 15 days.
All shipping charges FOB Oxumwear are additional, and will be billed to your account.

SAMPLES
Our policy is to make paid samples available. We will bill you the Wholesale price and shipping. Thanks for your understanding.

ALL SALES ARE FINAL
Only products with manufacturing flaws may be returned upon notification to and authorization from Oxumwear, Inc.

PAYMENT
• We require a full payment prior to shipping on all initial orders unless the credit is pre-approved.
• The size and frequency of an account’s orders, along with payment experience, will provide for adjustment in payment terms.
• We will not ship to accounts that have past due invoices.
• We accept payment via PayPal and Check.

PRICING
• Oxumwear does not impose price ceilings, however, we suggest a price minimum based on our current retail pricing.

SHIPPING TERMS
• Oxumwear will ship via FedEx Ground unless otherwise specified.
• The buyer pays freight, insurance, unloading costs and transportation from Los Angeles to the provided destination location.
• Canadian & International shipping will include applicable brokerage fees, General Service Tax & Provincial Sales Taxes in the shipping cost. International duties will be paid by the Buyer.
• Customers in foreign countries are fully responsible for researching the shipping costs, duties, required methods, etc. of their particular country.
• Shipping costs are either sent with customer’s FedEx Ground account number or prepaid by us and added to customer’s invoice total.

REFUNDS & CANCELLATIONS
• Oxumwear will provide a full refund within 48 hours of your order unless your order has already been shipped.
• Order Cancellations after 48 hours will incur a 20% cancellation fee of the entire order.
• Order Cancellations that have already shipped will include applicable freight charges and the 20% cancellation fee.

SHORTAGES & DISCREPANCIES
Any shortages or receiving discrepancies claims must be made within 10 days of receipt of delivery. Have your invoice number handy.

RETURNS & EXCHANGES
• All claims require a Return Merchandise Authorization (RMA) number.
• We suggest Return Shipments be sent insured with tracking.
• Oxumwear will not be held responsible for lost or damaged shipments.
• Merchandise returned without RMA numbers will be refused.

LOSS & DAMAGES
All FedEx Ground orders are sent insured. Oxumwear is not responsible or liable for damages incurred during shipping. We are happy to provide any information needed to make a claim.

BACKORDER POLICY
For any items that are on backorder, they will be shipped immediately upon availability, and you will not be charged for these items until the time of shipment. Your order may be split into multiple invoices to allow us to fill your order in the timeliest manner. We do not hold orders unless specifically requested.

DEALER RESPONSIBILITIES
It is the dealer’s responsibility to thoroughly read terms, conditions, quotes and confirmations. We cannot be responsible for errors overlooked by clients, this includes: shipping address, items ordered, deadlines and other details of the order provided by these terms.

It is up to the customer to thoroughly communicate any special needs to us. No claims or returns will be accepted where a special need was not communicated clearly in writing to us.

Any email, confirmation, announcement, or update emailed by us is assumed to have been received and read. We are not responsible for problems arising because an email went into a “spam filter” or was not read.

MODIFICATION OF TERMS
Oxumwear reserves the right to change or modify any of the Terms and Conditions contained in this Agreement at any time and from time to time in its sole discretion, and to determine whether and when any such changes apply to both existing or future customers without notice.
